Any quote, estimate, rate, availability, pickup time, delivery time, transit time, or service information provided through the website is subject to confirmation by Direct Logistics and Services.

Submitting a request for a quote or service does not automatically create a binding agreement between you and Direct Logistics and Services.

Specific services may be governed by separate documents, including:

  • Quotes and estimates

  • Rate confirmations

  • Service agreements

  • Work authorizations

  • Bills of lading

  • Invoices

  • Transportation documents

  • Other written agreements

If a separate written agreement conflicts with these Terms and Conditions, the more specific written agreement will control with respect to the conflicting subject matter.

3. Customer Information and Responsibilities

When submitting an inquiry, requesting a quote, arranging transportation, or requesting other services, you agree to provide accurate and complete information.

You are responsible for ensuring the accuracy of information concerning:

  • Pickup and delivery locations

  • Shipment contents

  • Cargo type and condition

  • Dimensions and weight

  • Loading and unloading requirements

  • Equipment requirements

  • Access conditions

  • Scheduling requirements

  • Contact information

  • Special handling instructions

  • Hazardous or regulated materials

  • Any other information relevant to the requested service

Incorrect, incomplete, or delayed information may affect pricing, equipment availability, pickup, delivery, scheduling, safety, or our ability to provide the requested service.

You are responsible for obtaining any permissions, approvals, documentation, or authorizations reasonably necessary for us to perform the requested services.

4. Pricing and Payment

Pricing is based on the information available when a quote or estimate is prepared.

Rates or charges may change if there are changes to:

  • Shipment dimensions or weight

  • Cargo type or condition

  • Pickup or delivery locations

  • Routes

  • Equipment requirements

  • Scheduling

  • Access conditions

  • Waiting time

  • Fuel costs

  • Taxes, tolls, permits, or third-party charges

  • The requested scope of services

You agree to pay all amounts stated in an applicable quote, rate confirmation, invoice, service agreement, or other transaction document, including authorized changes and applicable taxes or third-party charges.

Any deposits, payment deadlines, late fees, cancellation fees, waiting-time charges, or refund terms will be stated in the applicable transaction documents or otherwise agreed to in writing.

We may suspend or decline services because of nonpayment, unsafe conditions, inaccurate information, customer nonperformance, or circumstances outside the agreed scope.

5. Scheduling, Pickup, and Delivery

Pickup times, delivery times, transit times, service windows, and completion dates are estimates unless we expressly agree otherwise in writing.

Actual timing may be affected by circumstances including:

  • Weather

  • Road conditions

  • Traffic

  • Equipment availability

  • Driver availability

  • Facility delays

  • Loading or unloading delays

  • Government inspections

  • Safety requirements

  • Mechanical issues

  • Acts or omissions of third parties

  • Events beyond our reasonable control

You agree to provide reasonable access to pickup and delivery locations and to notify us promptly of any scheduling, access, shipment, or service changes.

6. Cancellations and Service Changes

To cancel or change a scheduled service, contact us as soon as possible.

Cancellation, rescheduling, waiting-time, failed-access, restocking, or other charges may apply when disclosed in the applicable quote, rate confirmation, invoice, service agreement, or other transaction document.

We may reschedule, suspend, or cancel a service when reasonably necessary because of unsafe conditions, weather, road or facility conditions, equipment or staffing issues, legal restrictions, customer nonperformance, inaccurate information, or other circumstances beyond our reasonable control.

7. SMS Messaging Program and Use Cases

When you expressly opt in, Direct Logistics and Services may send SMS or MMS text messages to the mobile telephone number you provide.

Depending on the consent you provide and your relationship with us, messages may include:

  • Responses to inquiries

  • Quote information and quote follow-ups

  • Scheduling and dispatch notifications

  • Pickup and delivery alerts

  • Shipment tracking and status notifications

  • Service confirmations and reminders

  • Changes, delays, or cancellation notices

  • Customer-support messages

  • Account, invoice, or billing notifications

  • Safety or operational alerts

  • Promotions, special offers, discounts, and service announcements

Non-marketing messages relate to an inquiry, transaction, shipment, account, or service you requested.

Marketing and promotional messages will be sent only when you separately opt in to receive them. Consent to receive marketing text messages is not a condition of purchasing or receiving goods or services.

Consent to receive non-marketing messages will not be treated as consent to receive marketing messages.

8. Consent to Receive Text Messages

By selecting an SMS consent checkbox, submitting a form containing a clear SMS consent disclosure, or completing another valid opt-in process, you authorize Direct Logistics and Services to send the categories of messages described in that disclosure.

Messages may be sent using an automated telephone dialing system or other automated technology.

You confirm that:

  • You are the subscriber or customary user of the mobile number provided

  • You are authorized to provide consent for that number

  • The telephone number you provided is accurate

  • You will notify us if the number changes or is reassigned

  • You are at least 18 years old or have reached the age of majority in your jurisdiction

Your consent applies only to the categories of messages you selected.

9. Message Frequency and Message and Data Rates

Message frequency may vary depending on your inquiries, requested services, quote activity, scheduling, dispatch activity, pickup and delivery activity, shipment status, communication preferences, and interactions with Direct Logistics and Services.

Message and data rates may apply to messages sent to you and messages you send to us.

Direct Logistics and Services does not charge a separate fee for participating in the SMS messaging program. However, your wireless carrier’s standard messaging, data, and other charges may apply.

Contact your wireless carrier if you have questions about your text-messaging or data plan.

10. Opting Out of Text Messages

You may opt out of the SMS messaging program at any time by replying STOP to any text message from Direct Logistics and Services.

You may also text STOP to:

After you text STOP, we will send one final SMS message confirming that you have been unsubscribed. After that confirmation, you will no longer receive text messages covered by your opt-out request.

We will also honor other reasonable requests to revoke consent as required by applicable law.

If you want to receive text messages again, you must complete the applicable opt-in process again.

Opting out of text messages does not prevent us from contacting you through other lawful methods when necessary to respond to an inquiry, provide a requested service, complete a transaction, or comply with applicable law.

12. Carrier Liability Disclaimer

Wireless carriers are not liable for delayed or undelivered messages.

Message delivery is subject to effective transmission by your wireless carrier and is not guaranteed.

The SMS and MMS messaging program may not be available through all wireless carriers or on all devices.

Direct Logistics and Services is not responsible for delays, delivery failures, technical errors, or other transmission problems caused by a wireless carrier, communications provider, device, network, or circumstances outside our reasonable control.

13. Age Restriction

The SMS messaging program is intended only for individuals who are at least 18 years old or have reached the age of majority in their jurisdiction.

By opting in to receive text messages, you represent that you meet this age requirement and are legally authorized to provide consent for the mobile telephone number submitted.

If we learn that an individual who does not meet the applicable age requirement enrolled in the SMS messaging program without legally valid authorization, we may remove that individual from the program.

14. Mobile Information and Privacy

We may provide information to subcontractors and service providers that support functions such as customer service, communications, hosting, customer management, and service fulfillment.

Text-message originator opt-in information and consent records are excluded from all other sharing categories and will not be provided to third parties for their independent use.

We do not sell, rent, or transfer SMS opt-in information or consent records.

If you provide an email address or telephone number, you authorize us to contact you concerning:

  • Requested services
